Terms of Service & EULA
The deal, in full.
The Terms of Service and End User License Agreement for SkySale, from GRND Labs LLC. Plain words where they fit; legal ones where they have to be.
In short
- SkySale is run by GRND Labs LLC, a Florida company. It is for businesses, and you get a licence to use it — you don't buy the software.
- $115 a month per location after a 14-day free trial, plus tax. Or $15 a month asleep: your records are kept, but no sales, bookings or email.
- Your data is yours. You can export it any time. We use it only to run SkySale for you, and never sell it.
- Cancel any time; you keep going to the end of the period you paid for. 30 days after the subscription ends, everything is deleted, with an email a week before.
- Check your own figures and AI suggestions — including commission, payroll, tax and anything read from your card processor. Our liability is capped at what you paid us in the last 12 months.
- Florida law applies. Disputes are settled by individual arbitration, not in court or as a class action (small claims excepted), and must be brought within one year.
This summary is here to help; the full text below is what applies.
1. Who this agreement is with
SkySale is software and a hosted service for retail and beauty shops — a register, customer list, commission and payroll reports, bookings, customer email and card-processor reconciliation — made available through app.sky-sale.com, a shop's own sky-sale.com address, and any SkySale mobile app (together, the "Service").
The Service is provided by GRND Labs LLC, a Florida limited liability company ("GRND Labs", "we", "us"). These Terms of Service and End User License Agreement (the "Agreement") are between GRND Labs and the business that creates a SkySale account (the "Shop", "you").
By creating an account, starting a trial, or using the Service, you accept this Agreement. If you accept it for a business, you confirm you are authorised to bind that business. If you do not agree, do not use the Service.
2. Business use only
The Service is for businesses, not for personal, family or household use. You must be at least 18 years old to create an account. Each account is one store location: a business with two locations has two accounts.
3. Your licence to use SkySale
While your subscription is in good standing, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service, and to install and use any SkySale mobile app on devices you own or control, solely for your own internal business operations and in accordance with this Agreement.
You may let your employees and contractors use the Service on your behalf ("Authorised Users"). You are responsible for everything done under your account by your Authorised Users, and for their compliance with this Agreement.
The Service is licensed, not sold. We and our licensors keep all rights, title and interest in the Service, including its software, design, documentation and trademarks. No rights are granted except those expressly stated here.
4. What you may not do
You will not, and will not let anyone else:
- copy, modify, or create derivative works of the Service, or decompile, disassemble or reverse engineer it, except to the extent the law expressly permits despite this restriction;
- sell, resell, rent, lease, sublicense or otherwise make the Service available to anyone other than your Authorised Users, or run a service bureau or time-sharing arrangement with it;
- get around, disable or interfere with any security feature, PIN, role or usage limit, or try to reach another shop's data;
- use automated means to scrape or overload the Service, or introduce malware;
- use the Service to send unsolicited or deceptive email or messages, or to contact anyone who has asked you to stop;
- use the Service for anything unlawful, including processing data you have no right to process; or
- use the Service to build a competing product.
5. Accounts, sign-in and PINs
You sign in with a one-time link or six-digit code sent to your shop's email address, so keep that mailbox secure. Each employee has a name and PIN; managers and admins can see and do more (for example payroll, settings, editing or deleting sales, cancelling the subscription). Treat PINs as credentials, give each person their own, and remove people who leave. Tell us straight away at security@sky-sale.com if you believe someone has access they should not.
6. Plans, fees and billing
Full plan
SkySale costs $115 per store location per month, plus any applicable sales tax, VAT or similar taxes, which are added to the price. New subscriptions include a 14-day free trial. A payment method is collected when you start, and the first charge is made when the trial ends unless you cancel before then.
Sleep plan
A shop that is closed for a while can be put to sleep for $15 per store location per month. While asleep, everything already recorded is kept and stays readable and exportable, but the Service will not take sales, returns or exchanges, will not book or move appointments, and will not send email. Appointments already booked can still be cancelled. When you move from the full plan to sleep, the unused part of the current period at the full price is credited against future invoices. When you wake a sleeping shop, it returns to the full plan and the remainder of the current period at the full price is charged straight away; the shop wakes once that payment succeeds.
Billing
Fees are billed monthly in advance through our payment provider, Stripe, and renew automatically each month until cancelled. You authorise us, through Stripe, to charge your payment method for all fees and taxes due. Before a free trial ends we email you a reminder to check your payment method. If a payment fails, we email you and the Service keeps working for four business days while you update your payment method; if the balance is still unpaid after that, the Service stops taking new sales until it is paid. Your records are not affected. Except for the credits described above or where the law requires otherwise, fees are non-refundable, including for partial months.
If you think a charge is wrong, tell us at support@sky-sale.com and give us 30 days to put it right before disputing it with your bank or card issuer. If you dispute a charge without doing so, or a dispute is decided in our favour, we may suspend the Service until the amount is paid, and you will cover the reasonable fees the dispute cost us.
We may change prices on at least 30 days' notice, given as described in Section 20. A change takes effect from your next billing period after the notice period ends; if you do not accept it, you can cancel before it takes effect.
We may, at our discretion, provide the Service to a shop without charge. Doing so for one shop does not oblige us to do so for any other, and we may end it on notice.
7. Cancelling, and what happens to your data
A manager or admin can cancel the subscription at any time in Settings → Account. The shop keeps working until the end of the period already paid for (or the end of the trial). After that, the Service stops taking new sales and your records remain readable for a short time.
Thirty (30) days after the subscription ends, the shop's account and everything in it are permanently deleted — sales, receipts, returns and chargebacks, customers and their purchase and email history, staff, commission and payroll records, products, prices, treatments and bookings, and the subscription record. We will email the address your shop signs in with at least seven (7) days before deletion, and deletion will not happen until at least seven days after that email is sent. To keep your records, start the subscription again or put the shop to sleep before then. Export anything you want to keep first; once deleted, we cannot restore it.
You are responsible for keeping your own copies of any records the law requires you to keep — for example payroll, wage, tax and sales records — for as long as it requires. SkySale is not an archive: export what you need regularly, and before cancelling.
An admin can instead close the account immediately in Settings → Account. Closing ends the subscription and permanently deletes the account and everything in it at once, with no grace period.
8. Your data
As between you and us, you own the data you and your Authorised Users put into the Service and the records it creates for you — sales, customers, staff and the rest ("Your Data"). You grant us a worldwide, non-exclusive licence to host, copy, process, transmit and display Your Data only as needed to provide, secure, maintain and support the Service for you, to prevent abuse, and as the law requires. We do not sell Your Data, and we do not use one shop's data to serve another. Our Privacy Policy explains how we handle personal information.
You are responsible for Your Data and for having the right to collect and use it — including giving any notices and getting any consents the law requires from your customers and staff (for example, before sending marketing email), and for honouring your customers' requests about their information.
Who controls your customers' information. The personal information you record about your customers and staff — names, contact details, addresses, birthdays, purchases, bookings and notes — belongs to you, and you decide what is collected and how it is used. You are the controller (or "business") for that information; we are your processor (or "service provider"). We process it only to provide the Service to you and on your instructions, we do not use it for our own purposes, and we will help you respond to a customer who asks to see, correct or delete their information. Where the law requires a written data processing agreement, these Terms are that agreement, and we will sign a separate one on request.
Sensitive information. SkySale is not a medical or health record system. Customer notes are free text, so please don't use them for health information — medical conditions, allergies, skin conditions, medications, pregnancy, or treatment history — unless you need it to serve that customer safely and have their consent, and only as much as you need. The same goes for other sensitive categories (for example racial or ethnic origin, religion, sexual orientation, or government identification numbers). Don't store payment card numbers anywhere in the Service. You are responsible for any sensitive information you choose to record. We do not enter into HIPAA business associate agreements, and the Service is not intended for protected health information.
You can export your transactions and customers at any time. Exports and imports need a manager's name and code.
9. Payments, commission, payroll and tax
SkySale does not process card payments or hold funds. You use your own payment processor and merchant account; if you connect one (such as Maverick Payments, Payarc, or a gateway such as Authorize.Net, NMI or USAePay) for reconciliation, we read settlement and chargeback records with the credentials you provide. Your processor's own terms govern your payments, and we are not responsible for your processor or gateway, or for the records it gives us, which may be late, incomplete or wrong.
Commission, payroll, tax and reconciliation figures are calculated from the rules and data you enter. They are tools to help you, not legal, tax, accounting or employment advice. You are responsible for checking them, for the tax rate you set, for paying your staff correctly and on time, and for complying with wage, tax and employment laws. Chargebacks read from your processor are recorded as pending, and whether one is won or lost — and so what it does to anyone's pay — is your decision. Check the figures before you pay anyone or file anything.
10. Email, texts and connected accounts
Customer email is sent either through your own connected Gmail account or through our email provider. You must only email people who have a relationship with your shop, include what the law requires (such as a way to opt out of marketing), and stop when asked. We may suspend sending, or the account, if email from it is abusive, unlawful or harms delivery for other shops.
Sale and audit alerts to staff phones are sent through mobile carriers' email-to-text gateways, which may delay or drop messages, and some carriers have closed theirs. Push notifications in the SkySale app are delivered by Apple and can also be delayed, dropped or switched off on the device. Email can be delayed, filtered as spam or not delivered. Don't rely on any alert, notification or email for anything time-critical, and don't treat a missing one as meaning nothing happened.
Connecting a third-party account (such as Gmail, a payment processor, or Stripe for billing) is also subject to that provider's terms. We are not responsible for third-party services, their availability, or changes they make.
11. Features that use AI
Some features use artificial intelligence provided by Anthropic: the in-app help chat, and writing product descriptions and usage notes (for example from a supplier's web page). AI output can be incomplete or wrong. Review it before relying on it or sending it — you are responsible for what you send to customers. The help chat answers questions about using SkySale only.
12. Feedback
If you send us ideas or feature requests, we may use them without restriction or obligation to you.
13. Availability and support
We work to keep the Service available, secure and correct, and to fix problems we find, but we do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, and we may change, add or remove features; if we remove a feature in a way that materially reduces the Service, we will tell you in advance where we reasonably can. Support is available at support@sky-sale.com and through the help menu in the app.
Free trials, accounts we provide without charge, the demonstration shop, and features we label as new, preview or beta are provided as they are, without any commitment to keep them, and may change or end at any time.
14. Suspension and termination
We may suspend or end your access if you materially breach this Agreement (including non-payment), if your use creates a security or legal risk for us or others, or if the law requires it. Where we reasonably can, we will tell you why first and give you a chance to fix the problem and to export Your Data. When this Agreement ends, your licence ends and Section 7 applies to Your Data. Sections that by their nature should survive — including fees owed, ownership, disclaimers, limits of liability, indemnity, governing law and the dispute terms in Section 19 — survive.
15. Disclaimer of warranties
Except as expressly stated in this Agreement, the Service is provided "as is" and "as available". To the fullest extent permitted by law, GRND Labs disclaims all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service or any calculation, report, reconciliation or AI output will be accurate, complete, uninterrupted or error-free.
16. Limitation of liability
To the fullest extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill or data, however caused, even if advised of the possibility.
To the fullest extent permitted by law, GRND Labs's total liability arising out of or relating to this Agreement or the Service will not exceed the fees you actually paid GRND Labs for the Service in the twelve (12) months before the event giving rise to the claim.
Without limiting the above, GRND Labs is not liable for: amounts you pay or fail to pay your staff, or taxes, penalties or interest, based on figures in the Service; sales, payments or chargebacks that a reconciliation did or did not flag; messages, alerts or notifications that were late or never arrived; or anything done by your processor, gateway, email provider or another third party.
These limits apply even if a remedy fails of its essential purpose, and they are an essential part of the price you pay. They do not apply to your obligation to pay fees, to your indemnity obligations, or to liability that cannot be limited under applicable law.
17. Your responsibility to us
You will defend, indemnify and hold harmless GRND Labs and its members, managers, employees and contractors from and against any third-party claims, and related losses, damages and reasonable costs (including attorneys' fees), arising from or relating to:
- Your Data, including any sensitive information you choose to record;
- your use of the Service in breach of this Agreement or the law;
- your dealings with your customers and staff, including any claim about wages, commission, overtime, tips, payroll, scheduling, classification or employment;
- any tax, penalty or interest assessed on you or your business;
- email, texts or other messages you send or cause to be sent through the Service, including any claim under anti-spam, telemarketing or privacy laws such as CAN-SPAM or the Telephone Consumer Protection Act; and
- your sales, refunds and chargebacks, and any dispute with your customers, your card processor or gateway, or your bank.
We will tell you promptly about a claim we want you to defend, let you control the defence (we may take part with our own counsel at our own cost), and not settle it in a way that binds you without your consent, which you won't unreasonably withhold.
18. Mobile apps
If you download a SkySale app from an app store, this Agreement applies to it, and the app store's own terms also apply to how you obtain it. If you get it from Apple's App Store: this Agreement is between you and GRND Labs only, not Apple; GRND Labs, not Apple, is solely responsible for the app, its maintenance and support, and any claims about it (including product liability, legal or regulatory compliance, and intellectual property claims); if the app fails to meet any applicable warranty, you may notify Apple, which may refund the purchase price (if any), and Apple has no other warranty obligation; you confirm you are not in a country subject to a U.S. government embargo or on a U.S. government list of prohibited or restricted parties; and Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.
19. Governing law and disputes
This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-law rules, and by the Federal Arbitration Act for everything about arbitration.
Talk to us first
Before starting any claim, write to support@sky-sale.com describing the problem and what you want. We will do the same before starting one against you. Each side will try in good faith to settle it within 30 days of that notice.
Arbitration
Any dispute, claim or controversy between you and GRND Labs arising out of or relating to this Agreement or the Service — including whether a claim must be arbitrated — that is not settled informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will take place in the State of Florida, or by video or on written submissions if both parties agree or the arbitrator decides. The arbitrator's award may be entered in any court with jurisdiction.
Either party may instead bring an individual claim in small claims court if it qualifies there, and either party may ask a court for an injunction to protect its intellectual property, its confidential information, or the security of the Service.
No class actions, no jury
Claims may be brought only individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not combine more than one business's claims or award relief to anyone not a party. Each party waives any right to a jury trial.
If the ban on class or representative proceedings is found unenforceable for a claim, that claim (and only that claim) will be decided by a court instead of an arbitrator. Any matter decided by a court under this Agreement will be brought exclusively in the state or federal courts located in the State of Florida, and each party consents to their personal jurisdiction.
One year to bring a claim
Any claim arising out of or relating to this Agreement or the Service must be started within one (1) year after it arose, or it is permanently barred, except where the law does not allow the time to be shortened. This does not apply to claims for fees owed.
20. Changes to this Agreement
We may update this Agreement. If a change is material, we will give you notice at least 30 days before it takes effect, in any one or more of these ways: a notice in the Service (for example on the register), an email to the address your shop signs in with, or posting the new version on sky-sale.com with its effective date. We may also ask you to accept a change in the Service; accepting it there is your agreement to it. Continuing to use the Service after a change takes effect also means you accept it; if you do not, you can cancel before then.
21. General
This Agreement, together with the Privacy Policy, is the entire agreement between us about the Service and replaces any earlier agreement on the subject. If any part is found unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it. You may not assign this Agreement without our written consent; we may assign it to an affiliate or in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. The parties are independent contractors. You will comply with applicable export control and sanctions laws. We may send notices by email to the address your shop signs in with; you may send notices to support@sky-sale.com.
